TERMS OF SERVICE — The H Health, LLC
PLEASE READ THESE TERMS OF SERVICE (“TERMS”) CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS.

These Terms of Service govern your access to and use of all websites, mobile applications, software, digital platforms, content, features, and services operated or provided by The H Health, LLC (collectively, the “Platform”). This includes, but is not limited to:

By accessing or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, whether or not you create an account or become a paying Member. If you do not agree, you may not use the Platform.

The H Health, LLC may update or revise these Terms at any time, and your continued use of the Platform after such changes are posted constitutes your acceptance of those changes.

1. Important Disclaimer

The Platform, including all content, programs, messages, and information provided through it—whether via website, app, or other digital service—is intended to support your general health, fitness, and wellness efforts and is provided for educational purposes only.

By using the Platform, you acknowledge that:

  • The H Health, LLC is not a medical organization, does not employ licensed physicians, and does not offer medical advice
  • The Platform is not a substitute for professional medical consultation, diagnosis, or treatment
  • You are responsible for consulting your physician before beginning any fitness, exercise, or nutrition program

The H Health, LLC disclaims all liability for any injury, illness, or adverse effects resulting from the use of its services without appropriate medical clearance. The Platform is intended for healthy adults aged 18 or older. If you are a minor, pregnant, or have any medical condition, you must seek clearance from your physician before using any part of the Platform.

2. Registration & Membership

Some features of the Platform may be accessible without registration; however, access to personalized content, fitness and mobility programming, or premium services will require you to create an account and register as a Member.

By registering, you agree to:

  • Provide accurate, current, and complete personal and health information
  • Update your information as necessary to maintain its accuracy
  • Keep your login credentials secure and confidential

The H Health, LLC reserves the right to suspend, refuse, or cancel your membership at its sole discretion if:

  • You provide false or misleading information
  • You violate these Terms or any applicable laws
  • You report, or we reasonably determine, that you have health conditions that make participation unsafe without medical oversight

3. Subscriptions & Billing

Certain features of the Platform require a paid subscription. By subscribing to services on the Platform, you agree to:

  • A recurring billing agreement, unless otherwise noted at checkout
  • Pay all applicable subscription fees and taxes using a valid payment method

Your subscription will automatically renew at the end of each billing term (weekly, monthly, or annually, depending on the selected plan). To avoid renewal charges, you must cancel your subscription at least 15 days before your renewal date, either by:

  • Sending a written request to our support team, or
  • Using the cancellation feature in your account’s Billing Information section

Failure to cancel in time will result in an automatic renewal, and your payment method on file will be charged accordingly. You remain responsible for all fees incurred prior to confirmed cancellation.

4. Free Trial

From time to time, The H Health, LLC may offer a limited-time free trial of its services. By enrolling in a free trial—whether through our website, app, or any other platform—you acknowledge and agree to the following:

Auto Payments and Cancellation Responsibility: When you enroll in a free trial, auto payments are enabled, and your selected payment method will be charged for a paid subscription at the end of the trial period unless you cancel prior to the trial’s conclusion. It is your responsibility to cancel your subscription before the trial period ends to avoid any charges. You may cancel through the cancellation feature in your account settings or by contacting our support team. The H Health, LLC is not responsible for charges incurred due to your failure to cancel, including if you “forget” to cancel, and no refunds will be provided for such charges unless required by applicable law.

The free trial ends upon:

  • The conclusion of the designated trial period, or
  • The start of your paid subscription—whichever occurs first

During the trial period:

  • Services are provided “as is”, with no warranties, guarantees, or service-level commitments
  • The H Health, LLC may modify, suspend, or terminate access at any time, without prior notice
  • You are solely responsible for any outcomes resulting from your trial use

If you do not convert to a paid subscription before the trial ends, your account data may be permanently deleted and may not be recoverable.

5. Fees and Payment Authorization

Certain features of the services provided by The H Health, LLC—including, but not limited to, access to digital content, wellness programs, mobile features, and platform subscriptions—require payment. By purchasing or subscribing to any service on our Platform, you agree to:

  • Pay all applicable fees and taxes associated with your account, at the rates in effect at the time of purchase
  • Authorize The H Health, LLC to charge your selected payment method through a secure third-party payment processor (e.g., Stripe)

Subscription fees are charged:

  • At the beginning of your initial term
  • On a recurring basis thereafter (weekly, monthly, or annually, depending on your plan)

All payments are non-refundable, including cases where purchases were made unintentionally or “accidentally,” unless The H Health, LLC is unable or unwilling to provide the services purchased.

The H Health, LLC may change its pricing or introduce new fees at any time, with notice provided via the Platform or by email.

6. Subscription Renewal & Cancellation Policy

By subscribing to any recurring service offered by The H Health, LLC through our Platform, you agree that your subscription will automatically renew at the end of each term for a duration equal to your original subscription, unless:

  • You cancel at least 15 days prior to your renewal date, or
  • The H Health, LLC terminates your account

To cancel, you must either:

  • Email our support team and receive written confirmation of cancellation, or
  • Use the cancellation feature in the Billing Information section of your account settings on the Platform

You are responsible for any charges incurred before your cancellation is confirmed. Failure to cancel in time will result in automatic renewal, and your payment method will be charged accordingly. No refunds are provided for auto-renewals, including if you “forget” to cancel, unless required by applicable law.

  • Minimum Term for Annual Subscriptions

By purchasing an annual subscription, you agree to a minimum commitment of twelve (12) months of service. Early termination or cancellation before the full term will not result in a prorated refund unless required by applicable law. Please ensure you have reviewed all service details before selecting an annual plan.

7. Account Security and Responsibility

When registering for access to any part of the Platform, including mobile apps and web portals, you are responsible for:

  • Keeping your login credentials secure and confidential
  • Ensuring no unauthorized access occurs under your account

You agree to notify The H Health, LLC immediately if you suspect any unauthorized use or breach of your account. The H Health, LLC is not liable for any loss or damage arising from your failure to safeguard your credentials.

You should exercise caution when using public or shared devices to access your account, and always log out after each session.

8. Limitations on Use and Intellectual Property

The H Health, LLC grants you a limited, personal, non-transferable, non-exclusive license to access and use the Platform and its content solely for your personal, non-commercial use.

All materials—including but not limited to: videos, graphics, logos, programs, routines, written content, branding, and all digital assets (“Proprietary Materials”)—are owned or licensed by The H Health, LLC and are protected by intellectual property laws.

You may not:

  • Copy, share, reproduce, or distribute any content without prior written consent
  • Modify or create derivative works from any Proprietary Materials
  • Use bots, scrapers, or automated tools to extract or manipulate Platform content
  • Post our content publicly on third-party platforms without permission

All rights not expressly granted to you are reserved by The H Health, LLC.

9. Notice Regarding Copyright Infringement

If you believe that your copyrighted work has been improperly posted or used on the Platform without authorization, please notify us immediately by submitting a copyright notice with the following required details:

  • A clear description of the copyrighted work
  • A description of the material you believe infringes on your work, including its location on our Platform
  • Your name, physical address, phone number, and email address
  • A written statement that you have a good faith belief the use is unauthorized
  • A statement, under penalty of perjury, that your claim is accurate and you are the copyright owner or are authorized to act on the owner’s behalf
  • Your electronic or physical signature

The H Health, LLC reserves the right to remove infringing content and to terminate accounts that repeatedly violate intellectual property rights.

10. User Conduct

You agree to use The H Health, LLC’s Platform—including all websites, mobile apps, and services—lawfully, respectfully, and in compliance with these Terms. We reserve the right to suspend or terminate your membership or access at any time if you violate any of the following rules of conduct.

You may not:

  • Post or transmit content that is unlawful, abusive, defamatory, obscene, hateful, harassing, or discriminatory
  • Impersonate another person, Member, Trainer, employee, or representative of The H Health, LLC
  • Misrepresent your affiliation with any individual, organization, or business
  • Infringe upon the intellectual property or contractual rights of others
  • Upload or distribute viruses, malware, or other harmful code intended to damage or interfere with the Platform
  • Engage in spamming, solicitation, pyramid schemes, or other forms of unauthorized marketing
  • Attempt to gain unauthorized access to accounts, data, servers, or restricted areas of the Platform
  • Harass, stalk, threaten, or otherwise abuse other users
  • Collect or distribute personal data without proper consent
  • Violate any local, state, national, or international law or regulation

Violations of this section may result in the immediate suspension or termination of your account, and may also be reported to appropriate law enforcement authorities.

11. Disclaimers of Warranties

Your use of The H Health, LLC’s Platform—including all digital content, apps, websites, services, and features—is entirely at your own risk. All aspects of the Platform are provided “as is” and “as available”, with no express or implied warranties of any kind.

The H Health, LLC expressly disclaims any and all warranties, including but not limited to:

  • The accuracy, reliability, or completeness of any content, service, or information
  • Merchantability or fitness for a particular purpose
  • Non-infringement of intellectual property rights
  • Uninterrupted or error-free operation of the Platform

We do not guarantee that the Platform will meet your expectations or produce any particular result. If any part of this disclaimer is found to be unenforceable under applicable law, the remainder will remain in effect to the fullest extent permitted.

12. Limitation of Liability

To the maximum extent allowed by law, you agree that The H Health, LLC will not be liable for any damages—direct or indirect, incidental, special, punitive, or consequential—that may arise from or relate to your use of the Platform.

This includes, but is not limited to, damages related to:

  • Access to or inability to access the Platform
  • Use of or reliance on content or services
  • Subscriptions, purchases, or transactions made through the Platform
  • Interactions with Trainers, Members, or third parties
  • Unauthorized access to or alteration of your personal data

You also agree that:

  • The H Health, LLC’s total liability to you for any claims will not exceed the total amount paid by you to The H Health, LLC in the past 12 months
  • This limitation applies even if The H Health, LLC has been advised of the possibility of such damages

If any portion of this section is found to be invalid, the remainder will continue in full force and effect.

13. Trainers

RELIANCE ON ANY INFORMATION PROVIDED BY A TRAINER, COACH, INSTRUCTOR, OR AFFILIATE OF THE H HEALTH, LLC THROUGH ANY PART OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.

By participating in any program or guidance delivered through the Platform, you acknowledge and accept all associated risks, including the possibility of injury. You agree to release The H Health, LLC, its Trainers, affiliates, and content creators from any and all liability related to your use of such services.

The H Health, LLC makes no guarantees or warranties regarding:

  • The credentials, conduct, or performance of any Trainer, including guest or celebrity Trainers
  • The outcomes or results of any program or advice provided
  • The accuracy or completeness of content created or delivered by Trainers or third-party contributors

Always consult a licensed physician before beginning any exercise, mobility, or nutrition program. If The H Health, LLC promotes a celebrity or guest Trainer, you understand that such individuals may not provide direct communication, instruction, or personal interaction.

You agree to exercise good judgment and take all necessary safety precautions when interacting with Trainers or Members—especially in offline or in-person settings.

14. Indemnification

You agree to defend, indemnify, and hold harmless The H Health, LLC, its officers, directors, employees, affiliates, partners, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including attorneys’ fees) arising from:

  • Your use or attempted use of any part of the Platform
  • Your breach of these Terms or violation of any law or regulation
  • Your violation of the rights of any third party, including intellectual property, privacy, or contractual rights
  • Any content you submit, post, upload, or transmit through the Platform

This indemnification obligation will survive the termination of your use of the Platform or any agreement between you and The H Health, LLC.

15. Third-Party Websites and Services

The H Health, LLC’s Platform may include links to or integrations with third-party websites, tools, applications, or services. These are provided for convenience only. You acknowledge and agree that:

  • The H Health, LLC does not control or endorse third-party services
  • The H Health, LLC is not responsible for the content, privacy practices, availability, or policies of any third-party website or platform
  • Your use of any third-party service is governed solely by that third party’s terms and policies

We strongly encourage you to review the terms and privacy policies of any third-party websites or services you choose to visit or interact with.

16. Governing Law and Jurisdiction

These Terms represent the complete and final agreement between you and The H Health, LLC, superseding any prior agreements, understandings, or communications related to your use of the Platform.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

You agree that any dispute, claim, or legal action arising out of or relating to these Terms, the Platform, or your relationship with The H Health, LLC will be brought exclusively in the state or federal courts located in Tampa, Florida, and you consent to the personal jurisdiction of those courts for the purpose of litigating any such dispute.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

17. Miscellaneous Terms

The H Health, LLC may assign its rights and obligations under these Terms to any affiliate or successor in interest at any time without notice.

These Terms are binding on and will inure to the benefit of The H Health, LLC’s successors, assigns, and licensees.

If any part of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Failure by The H Health, LLC to enforce any provision or exercise a right under these Terms shall not be considered a waiver of that provision or right, and all provisions shall remain in effect unless expressly waived in writing.

18. Promotions and Offers

From time to time, The H Health, LLC may offer special discounts, promotional codes, or other limited-time offers through its Platform.

By participating in any promotion, you agree to the following conditions unless otherwise stated:

  • Promotions are non-transferable and may only be used by the intended recipient
  • Discounts may not be combined with other promotions or offers
  • Eligibility and availability of offers may be restricted to specific users or geographic locations
  • Participation in promotions may require submission of additional personal information
  • We may use your contact information to inform you of promotional offers, in accordance with our Privacy Policy. You may opt out at any time.

Participation in any promotional program is entirely voluntary.

19. Delivery Method and Timing

Once your registration and payment are successfully processed, The H Health, LLC will make commercially reasonable efforts to provide immediate access to your purchased content, subscription, or services through the Platform.

Access is typically delivered via user login to grid.thehhealth.com or the official mobile app. While we aim for instant access, delays may occasionally occur due to processing, system maintenance, or technical issues.

You agree that such delays do not constitute grounds for a refund unless otherwise explicitly stated.

20. Return/Refund Policy

All purchases made through The H Health, LLC—including software, digital content, and subscriptions—are non-refundable, unless:

  • Otherwise stated during the checkout process
  • Required by applicable consumer protection laws

It is your responsibility to review all pricing, subscription details, and service offerings before completing a transaction. Refund requests based on accidental purchases or change of mind will not be honored except where required by law.

21. Age Limitations

The H Health, LLC’s Platform is intended for use by individuals who are 18 years of age or older. By accessing or using any part of the Platform, you represent and affirm that you meet this age requirement and have the legal capacity to enter into a binding agreement.

If we discover that a user is under the age of 18, we reserve the right to terminate their access immediately. The H Health, LLC disclaims all liability for unauthorized use by individuals under 18.

22. Virtual Consultations

The H Health, LLC offers virtual consultations through the Platform, conducted by physical therapists, exercise physiologists, and/or strength and conditioning coaches/personal trainers (“Health Optimizers”). These consultations are provided solely for educational purposes to support your general health, fitness, wellness, and functional movement goals. By participating in a virtual consultation, you acknowledge and agree to the following:

No Medical Diagnosis or Treatment: Virtual consultations do not constitute medical advice, diagnosis, or treatment. Health Optimizers provide guidance and education on exercises, mobility, or wellness practices to assist with function, but they do not diagnose medical conditions or prescribe treatments. You are responsible for consulting a licensed physician or qualified healthcare provider before implementing any recommendations or participating in any virtual consultation, especially if you have pre-existing health conditions, injuries, or concerns.

User Responsibility: You assume all risks associated with participating in virtual consultations, including but not limited to the risk of injury or adverse effects from following educational guidance. You agree to disclose any relevant health information to the Health Optimizer prior to the session to ensure the guidance provided is appropriate for your needs. The H Health, LLC is not liable for any injury, illness, or adverse effects resulting from your participation in a virtual consultation.

Non-HIPAA Certified Video Service: Virtual consultations are conducted through third-party video conferencing services that are not certified as compliant with the Health Insurance Portability and Accountability Act (HIPAA). While The H Health, LLC takes commercially reasonable measures to protect your personal information, we do not guarantee the security or confidentiality of communications during virtual consultations. You acknowledge and accept any risks associated with using a non-HIPAA-certified video service and agree to use such services at your own discretion.

Recording and Privacy: Virtual consultations may not be recorded, screenshot, or otherwise reproduced by you without prior written consent from The H Health, LLC. Any personal information shared during a consultation is subject to our Privacy Policy. You are responsible for ensuring a private and secure environment on your end during the consultation to protect your personal information.

Health Optimizer Credentials and Limitations: The H Health, LLC makes no guarantees or warranties regarding the credentials, performance, or outcomes of any Health Optimizer. Health Optimizers are not acting as licensed medical professionals, and their guidance is not a substitute for professional medical care. Reliance on any information provided during a virtual consultation is at your own risk.

Technical Requirements and Limitations: You are responsible for ensuring you have a stable internet connection, compatible device, and appropriate environment for participating in virtual consultations. The H Health, LLC is not responsible for technical difficulties, interruptions, or inability to access virtual consultations due to issues on your end or with third-party services.

Cancellation and Scheduling: Virtual consultations are subject to scheduling availability and may be canceled or rescheduled by The H Health, LLC or the Health Optimizer with reasonable notice. If you wish to cancel a scheduled consultation, you must provide at least 24 hours’ notice through the cancellation feature in your account settings or by contacting our support team. Failure to provide 24 hours’ notice may result in forfeiture of the consultation fee, if applicable. Fees associated with virtual consultations are non-refundable, except as required by applicable law or as otherwise stated at the time of booking.

Liability Limitation: To the fullest extent permitted by law, The H Health, LLC, its Health Optimizers, affiliates, and partners will not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from your participation in virtual consultations, including but not limited to injury, loss, or damages resulting from reliance on educational guidance provided. This limitation applies even if The H Health, LLC has been advised of the possibility of such damages.

By participating in a virtual consultation, you agree to release The H Health, LLC, its Health Optimizers, affiliates, and partners from any and all liability related to your use of such services. Always consult a licensed physician or qualified healthcare provider before beginning or modifying any exercise, mobility, or wellness program based on guidance received during a virtual consultation.

23. SMS Messaging Terms

When you provide your mobile phone number and opt in to receive SMS messages from The H Health, LLC (including promotional, transactional, appointment reminders, program updates, marketing messages, or other communications), you agree to the following terms:

The H Health, LLC may send you recurring automated text messages related to your account, subscriptions, wellness programs, appointment reminders, promotional offers, updates on fitness/mobility content, and other service-related or marketing communications.

Message frequency varies depending on your interactions, subscriptions, and engagement with our Services (e.g., more messages during active use or promotions).

Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. For questions about your text or data plan, contact your wireless provider.

You can opt out of receiving SMS messages at any time by replying STOP to (813) 981-7788 (or the number from which you received the message). After sending “STOP”, you will receive one final confirmation message confirming your opt-out, and no further messages will be sent (except as required for transactional purposes in limited cases, such as critical account security alerts, where permitted by law). To re-join, simply opt in again through our standard process.

By opting in (e.g., via a clear checkbox or similar mechanism), you provide express written consent to receive these recurring automated marketing and informational text messages from The H Health, LLC at the mobile number you provided. Consent is not a condition of purchase.
